Disclaimer
CleanWhispers is a research tool built on public disclosure filings. It is not investment advice, nothing it displays is a recommendation to buy, sell or hold any security, and nothing it displays is an allegation about any person named in it.
We are not registered
CleanWhispers is not registered as a dealer, adviser or investment fund manager in any province or territory of Canada, or in any other jurisdiction. Nothing here is tailored to your circumstances, because we do not know them — no figure on this site takes account of your income, your tax position, your other holdings or what you are trying to achieve. Before acting on anything you read here, speak to someone who is registered and who does know those things.
Everything here is already public
This site republishes disclosure filings that the law requires certain people to make — corporate insiders under §16 of the Securities Exchange Act, members of Congress and senior executive branch officials under the STOCK Act, and federal judges under the judicial disclosure rules. We hold no information that has not been publicly filed, and we do not solicit any.
No allegation of wrongdoing
A trade appearing on this site means it was disclosed, as the law required. It is not evidence that anyone traded improperly, and we make no such claim about any person named here.
Where we mark a filing as late, we mean one thing and only one thing: the document became public after the date the relevant statute set, which is arithmetic on two dates the filing itself supplies. Late filings are common and are usually administrative. Nothing in that label is an accusation.
Our lists are a screen, not an endorsement
Filers are sorted into lists by applying published criteria about the quality of their filing record — how completely their documents parse, and whether both dates are known. A filer appearing on any list does not mean we think you should follow them, copy them, or do anything else. A filer we have not looked at is not thereby worse than one we have.
Data
Filing information is read from the offices that publish it: SEC EDGAR, the Clerk of the House, the Senate Office of Public Records, the Administrative Office of the U.S. Courts and the Office of Government Ethics. Documents may be incomplete, filed late, amended afterwards, or wrong at source, and our parsing of them may be wrong. Where a value is not sourced it is shown as N/A rather than estimated. Always verify against the filing we link to before acting.
Issuer names, tickers and trademarks belong to their respective owners and are used here only to identify the securities they name. We are not affiliated with, endorsed by or sponsored by any issuer, filer, office or agency.
If you believe something here is wrong, write to us and we will check it against the source and correct or remove it — see section 9 of the terms.
A disclosed trade is not a signal
Every trade on this site describes something that already happened, reported by someone who had no obligation to report it promptly beyond the statutory deadline. We make no claim that following these trades produces any result, and you should treat anyone who does make that claim with care. Past trades do not indicate future ones, and they say nothing about future prices.
The record arrives late, by design
Reporting deadlines run from two business days to more than a year depending on the form. By the time a trade is public the position may have been added to, reduced or closed, and none of that is required to be reported until the next filing falls due. Where we show a reporting lag it is measured from the dates on the filing — it is a fact about the paperwork, not an estimate of anything else.
Amounts are as filed, including the vague ones
Congressional, judicial and executive branch forms report value in bands rather than figures, and transactions at or below the reporting threshold need not appear at all. We show the band that was filed and never a midpoint. Nothing on this site converts a range into a number.
Who this is for
The filings covered here are US federal disclosure filings, and the securities they name are listed on US exchanges. Nothing on this site accounts for your residence, tax situation or filing obligations, which vary by jurisdiction. Consult a qualified adviser.
If you are yourself subject to any of these reporting rules, nothing here is a substitute for your own compliance obligations or for advice from your ethics office or counsel.
No warranty, and what we are liable for
This site is provided as is, without warranty of any kind, express or implied, including as to accuracy, completeness, fitness for a particular purpose or uninterrupted availability. To the maximum extent permitted by law, we are not liable for any loss or damage — including trading losses, lost profits or tax consequences — arising from your use of, or reliance on, anything published here. You are responsible for your own investment decisions.
How we are paid
By subscription, from readers. We accept no payment, commission, referral fee or other consideration from any issuer, dealer, filer, campaign, office or agency in connection with anything on this site. Inclusion on a list cannot be bought, and neither can removal from one.
